A Brainix USA LLC and its affiliates ("Brainix" or "we") provide its content on its websites or applications that link to these Terms of Use (the "Site") subject to the following terms and conditions (the "Terms"). We may periodically change the Terms without prior notice, so please check them regularly. These Terms were last updated on August 7, 2023. By accessing and using this Site, you agree to these Terms. 1. Copyright

All content and functionality of the Site, including text, graphics, logos, icons, images, and videos, and the selection and arrangement thereof, as well as concepts, know-how, tools, structures, software, applications, or other technologies, algorithms, models, processes, and industry perspectives underlying or incorporated into the foregoing, together with any enhancements or derivative works of them (the "Site Content") are the exclusive property of Brainix or its licensors and, as applicable, are protected by U.S. and international copyright laws. Neither the Site Content nor the functionality of the Site may be copied, reproduced, modified, reverse-engineered, altered (including removing or disabling any security or technological safeguards, legal notices, or captions), uploaded, published, posted, transmitted, or distributed in any way without our prior written permission, except for the uses specified in Section 3 - Use of Site Content. All rights not expressly granted are reserved.

2. Trademarks

The trademarks, service marks, designs, and logos (collectively, the "Trademarks") displayed on the Site are registered and unregistered Trademarks of Brainix and its licensors. You agree that, except as expressly permitted by us (e.g., through social media sharing tools provided on the Site) or by our licensors, where applicable, you will not refer to or attribute any information to Brainix or its licensors in any public medium (e.g., press releases, websites, or public social media) for advertising or promotion purposes, or for informing or influencing any third party, and that you will not use or reproduce any Brainix Trademark, or imply any endorsement or relationship with Brainix or its licensors.

3. Use of Site Content

Brainix grants you a limited, non-exclusive, non-transferable, and revocable license for the duration of the term to access and download, display, and print a copy of the Site Content on a single computer solely for internal and commercial use, provided that you do not modify the Site Content in any way (including creating derivative works), that you retain all copyright and other proprietary notices displayed in the Site Content, and that you comply with these Terms. You may not reproduce, modify, reverse engineer, distribute, transmit, publish, or disclose the Site Content without prior written consent from Brainix. Additionally, you may not "mirror" the Site Content or any part thereof without the express written consent of Brainix. Nothing on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Brainix intellectual property except as expressly set forth herein. The license granted in this section will automatically and immediately terminate if you fail to comply with these Terms.

4. User Posts

You acknowledge and agree that Brainix shall own and have unrestricted right to use, publish, and exploit any and all information you post or otherwise disclose on the Site in postings, forums, or message boards, questionnaires, responses to surveys, and other interactions, and you acknowledge and agree that by providing us with any such submission, you automatically and hereby grant to Brainix a worldwide, non-exclusive, transferable, assignable, sublicensable, fully paid-up, royalty-free, perpetual, irrevocable, and right to use, reproduce, publish, distribute, modify, and otherwise exploit such submission for any purpose and in any form or medium not prohibited by applicable law. You further waive any claims against Brainix for any actual or alleged violation of any privacy or publicity rights, intellectual property rights, moral rights, or rights of attribution in connection with Brainix's use and publication of such submissions.

You warrant that you will not post or otherwise disclose on the Site any material that (a) is threatening, defamatory, or obscene; (b) would constitute, or that encourages conduct that would constitute, a criminal offense, give rise to civil liability, or otherwise violate law; (c) violates the intellectual property, privacy, or other rights of third parties; (d) contains a computer virus or other destructive element; (e) contains advertising; (f) constitutes or contains false or misleading statements; or (g) violates these Terms.

Brainix does not represent or endorse the accuracy or reliability of information posted on the Site by users. Additionally, Brainix does not review all information posted on the Site by users and is not responsible for such information. However, Brainix reserves the right to refuse posting and the right to remove any information, in whole or in part, for any reason or no reason.

5. Infringement Notices and Actions Taken by Brainix

Brainix prohibits the posting of any information that infringes or violates copyrights and/or other intellectual property rights (including privacy and publicity rights) of any person or entity. If you believe that your intellectual property right (or a right you are responsible for enforcing) has been infringed by any content on the Site, please write to Brainix at the address provided below, providing a written statement that includes: (a) identification of the copyrighted and/or intellectual property-protected work that has been allegedly infringed; (b) identification of the allegedly infringing material on the Site that you request to be removed; (c) your name, address, and daytime telephone number, and an email address if available; (d) a statement that you have a good faith belief that the use of the copyrighted and/or intellectual property-protected work is not authorized by the owner, its agent, or the law; (e) a statement that the information in the notification is accurate and, under penalty of perjury, that the signatory is authorized to act on behalf of the owner of the allegedly infringed right; and (f) the signature of the owner of the intellectual property right or someone authorized on the owner's behalf to assert the infringement claim. Brainix will remove any posted submission that infringes copyright or another person's intellectual property rights under U.S. law upon receipt of such a statement (or any statement in conformity with 17 U.S.C. § 512(c)(3)). U.S. law provides significant penalties for submitting a false statement. Under appropriate circumstances, people who repeatedly submit infringing or illegal material will have their posting privileges prohibited. 6. Exemptions

THE CONTENT AND FUNCTIONALITY OF THE SITE ARE PROVIDED WITH THE UNDERSTANDING THAT BRAINIX IS NOT PROVIDING PROFESSIONAL ADVICE OR SERVICES TO YOU, AND NO CONTENT OF THE SITE IS INTENDED TO SERVE OR WILL BE DEEMED AS INVESTMENT, LEGAL, TAX, ACCOUNTING, OR REGULATED ADVICE. YOU WILL REMAIN SOLELY RESPONSIBLE FOR THE USE OF ALL THE CONTENT OF THE SITE AND ACKNOWLEDGE THAT ANY RELIANCE ON THE CONTENT OF THE SITE WILL BE ENTIRELY AT YOUR CHOICE AND RISK. ALL CONTENT AND FUNCTIONALITY OF THE SITE ARE PROVIDED "AS IS," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BRAINIX AND ITS THIRD-PARTY CONTENT PROVIDERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE OWNERSHIP, ACCURACY, OR SUITABILITY OF THE CONTENT OF THE SITE. BRAINIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST REVENUES OR PROFITS, REGARDLESS OF WHETHER INFORMED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, AND REGARDLESS OF THE THEORY OF LIABILITY.

7. Indemnity

You hereby indemnify, defend, and hold harmless Brainix and all of its predecessors, successors, parents, subsidiaries, affiliates, officers, shareholders, investors, employees, agents, representatives, and attorneys, and their respective heirs, successors, and assigns (the "Brainix Indemnified Parties"), from and against any and all liabilities, expenses, costs, or other losses ("Losses") incurred by Brainix and/or the Brainix Indemnified Parties in connection with any claims arising out of your use of the Site and/or any breach by you of these Terms, including the representations, warranties, and covenants you have made, if any, by agreeing to these Terms. Brainix reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

8. Third Party and Partner Sites

We may provide links to third-party websites, and some of the content that appears on this Site may be provided directly or indirectly by third parties, for example, in cases of embedding third-party websites or through content delivery structures provided by third-party servers. Brainix has no responsibility for these third-party websites, which are governed by the terms of use and privacy policies, if any, of the applicable third-party content providers.

9. Law Enforcement Jurisdiction

These Terms are governed by the laws of the State of Florida, without reference to its conflict of law principles.
